1. Acceptance of Terms

1.1 Agreement to Terms

By accessing our website, creating an account, or renting any robot from Futurobots B.V. (“Company,” “we,” “us,” or “our”), you (“Customer,” “you,” or “your”) agree to be bound by these Terms of Service (“Agreement”). If you do not agree to all terms, you must not use our services.

1.2 Legal Contract

This Agreement constitutes a legally binding contract between you and Futurobots B.V., a limited liability company incorporated under Netherlands law.

1.3 Updates to Terms

We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the updated terms.

2. Definitions

2.1 Core Terms

“Robot” means any humanoid robot, robotic device, or automated system available for rental through our platform, including all accompanying accessories, software, and documentation.

“Rental Period” means the period beginning on the delivery date and ending on the return date, as specified in your rental agreement.

“Account Dashboard” means your personalized online portal accessible through our website for managing rentals, support, and communications.

2.2 Coverage Plans

“Standard Coverage” means our basic protection plan included with every rental at no additional cost, requiring a refundable security deposit, with customer liability limited to the deposit amount for damages.

“Complete Coverage” means our premium protection plan with zero customer liability for damages, available for an additional 10% of the monthly rental cost, still requiring the same refundable security deposit.

2.3 Financial Terms

“Security Deposit” means the refundable amount required for all rentals: $5,000 USD for Humanoid Robots and $3,000 USD for Robot Dogs (or equivalent in your local currency), charged separately one week before delivery.

“Monthly Rental Fee” means the base cost for renting a robot for one month, displayed in your local currency during booking.

2.4 Service Terms

“Delivery Partner” means any third-party logistics company we engage to deliver and collect robots.

“Incident” means any malfunction, damage, loss, theft, accident, or safety event involving a rented robot.

“Force Majeure Event” means any event beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, wars, terrorism, labor disputes, or supply chain disruptions.

3. Eligibility and Account Requirements

3.1 Age and Legal Capacity

You must be at least 18 years old and legally capable of entering into binding contracts under Netherlands law and the laws of your jurisdiction.

3.2 Account Registration

You must create an account providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.3 Geographic Restrictions

Our services are available only in countries listed on our website. Service availability may change without notice due to legal, regulatory, or operational considerations.

3.4 Prohibited Users

We reserve the right to refuse service to anyone who:

  • Has previously violated our terms
  • Has outstanding payment obligations
  • Is subject to legal restrictions on equipment rental
  • Cannot provide required verification information

4. Robot Rental Process

4.1 Advance Booking Requirements

All robot rentals require a minimum 4-week advance booking period due to preparation and regional coordination. Some robot models may require longer lead times if they’re in high demand.

4.2 Reservation Process

Your rental begins only upon our written confirmation via email. We reserve the right to reject any reservation request for any reason. You can select your preferred delivery week during booking, and our team will contact you to schedule the exact delivery day within that week.

4.3 Rental Periods

  • Minimum rental period: 1 month
  • Maximum rental period: 3 months for online bookings
  • Longer rentals: Require direct consultation with our team
  • Multiple robots: Each reservation is for one robot only; separate reservations required for multiple robots

4.4 Robot Availability

All robots are subject to availability. If your selected robot becomes unavailable, we will offer comparable alternatives or provide a full refund of your reservation payment.

4.5 Delivery Scheduling

If we cannot deliver during your scheduled week, we will work with you to reschedule delivery as soon as possible based on robot availability and logistics coordination.

5. Payment Terms and Billing

5.1 Multi-Currency Support

We support multiple currencies with prices displayed in your local currency:

  • USD for USA
  • GBP for UK
  • EUR for Europe All transactions are processed in your selected currency with exchange rates locked at reservation confirmation.

5.2 Payment Schedule

  • First month: Payment due immediately upon reservation confirmation
  • Subsequent months: Automatic billing occurs exactly 30 days after delivery date, continuing every 30 days thereafter
  • Rental period: Officially begins on delivery date, not reservation date

5.3 Payment Methods

We accept major credit cards and other payment methods as displayed during checkout. You authorize us to charge your selected payment method for all fees under this Agreement.

5.4 Security Deposit Requirements

5.4.1 Deposit Amounts

All rentals require refundable security deposits:

  • Humanoid Robots: $5,000 USD (or equivalent in your local currency)
  • Robot Dogs: $3,000 USD (or equivalent in your local currency)
  • Required for: Both Standard and Complete Coverage plans
5.4.2 Deposit Timing and Process
  • Timing: Charged 7 days before delivery date
  • Method: Manual payment via email request (separate from reservation)
  • Purpose: Final confirmation of robot availability
  • Refund: Automatically refunded within 7 days of robot return in good condition

5.5 Non-Payment Consequences

If deposit isn’t paid by delivery date, we cannot initiate delivery. You have a 7-day grace period to pay and reschedule delivery. If no payment is made within this period, you forfeit your rental and reservation payment.

For monthly payment failures:

  • Three attempts over 10 business days
  • 5% late fee after third failed attempt
  • Additional fees for each subsequent 30-day period
  • Immediate termination and robot return demand for extended non-payment

5.6 Collections

For unpaid amounts, we may engage debt collection agencies, report to credit agencies, and you’re responsible for all collection costs including attorney fees.

6. Coverage Plans and Liability

6.1 Coverage Plan Selection

You must select either Standard Coverage or Complete Coverage during booking. Coverage cannot be changed after confirmation without our written consent.

6.2 Standard Coverage (Included at No Extra Cost)

6.2.1 What’s Included

Every rental includes Standard Coverage at no additional cost, covering:

  • Mechanical failures and manufacturing defects
  • Normal wear and tear during proper use
  • Accidental damage up to the deposit amount
  • Theft and loss protection (with valid police report filed within 48 hours)
6.2.2 Your Maximum Liability

Your liability for robot damage is limited to the security deposit amount: $5,000 for Humanoid Robots and $3,000 for Robot Dogs. Any damage costs exceeding this amount become our responsibility.

6.2.3 Security Deposit
  • Humanoid Robots: $5,000 USD (or equivalent in your local currency)
  • Robot Dogs: $3,000 USD (or equivalent in your local currency)
  • Refundable: Yes, within 7 days of robot return in good condition
  • Timing: Charged 7 days before delivery date

6.3 Complete Coverage (Premium Protection)

6.3.1 What’s Included

Complete Coverage provides comprehensive protection including:

  • All Standard Coverage benefits
  • Zero liability for any robot damage, loss, or theft
  • Complete peace of mind for high-risk use cases
6.3.2 Your Maximum Liability

Zero liability for normal use – you are not responsible for accidental damage costs, theft, or loss.

6.3.3 Premium Cost and Deposit
  • Premium: Additional 10% of monthly rental cost
  • Security Deposit: Still required – $5,000 for Humanoid Robots, $3,000 for Robot Dogs
  • Deposit Purpose: Ensures robot return; refunded within 7 days when robot returned

6.4 Security Deposit Process

6.4.1 Deposit Timing

All rentals require security deposits charged 7 days before delivery via manual payment email request.

6.4.2 Deposit Refund
  • Timeline: Automatically refunded within 7 days of robot return
  • Standard Coverage: Refunded after deducting damage costs (up to deposit amount)
  • Complete Coverage: Full refund regardless of robot condition upon return
  • Theft/Loss: Valid police report must be filed within 48 hours for deposit refund
6.4.3 Non-Return Consequences

If robot is not returned, deposit is forfeited and you remain liable for robot replacement cost.

6.5 Coverage Exclusions

Neither Standard nor Complete Coverage protects against:

  • Personal injury or bodily harm to any person
  • Property damage to customer’s or third-party property
  • Loss of data, profits, or business interruption
  • Damages caused by prohibited uses
  • Criminal activities or intentional misconduct

6.6 Damage Assessment

All damage determinations are made by our technical team based on pre-delivery condition reports, post-return inspection, customer incident reports, and technical diagnostic data.

6.7 Coverage Limitations

6.7.1 Prohibited Use Exclusions

Coverage does not apply to damages from:

  • Disassembly, modification, or unauthorized repairs
  • Use beyond specified robot capabilities
  • Violation of prohibited activities in Section 9
6.7.2 Operator Requirements

Coverage requires primary operator is 18+ years old, minors operate only under direct adult supervision, and all operators follow safety guidelines.

7. Delivery and Returns

7.1 Delivery Process

Robots arrive in specialized rolling cases via our logistics partners using tracked, insured shipping. You’ll receive tracking information 1 week before delivery. Our team contacts you to schedule the exact delivery day within your selected week (typically Tuesday-Friday).

7.2 Delivery Requirements

  • Someone 18+ must be present during delivery window
  • Clear access path to storage location
  • Account access available for delivery confirmation
  • Delivery case weighs 30-150 kg depending on robot type
  • Inspect robot upon delivery and report issues within 24 hours

7.3 Failed Deliveries

If delivery fails due to your unavailability, redelivery fees may apply and rental period still begins on original scheduled date.

7.4 Returns Process

Robot collection is scheduled exactly 30 days after delivery (or end of rental period). Pack robot in original case with all accessories. You must be available during scheduled collection time.

7.5 Failed Returns

If you fail to make robot available for collection, daily holding fees equal to daily rental rate apply and we may take legal action to recover the robot.

8. Robot Usage and Permitted Activities

8.1 Permitted Uses

You may use rented robots for:

  • Personal entertainment and education
  • Content creation and media production
  • Business demonstrations and presentations
  • Research and development activities
  • Educational and training purposes
  • Commercial events (with proper insurance coverage)

8.2 Robot Operation

All robots arrive fully programmed and ready to use. Most robots are ready within 15-30 minutes of unboxing. No technical background required – robots come with intuitive controls and comprehensive video tutorials.

8.3 Programming and Customization

You may program robots within their designed capabilities and develop custom software applications. You control all data stored on or transmitted by the robot during rental and own all content created.

8.4 Recording and Privacy

Some robots can record video and audio. All recording must comply with local privacy laws and obtain proper consent. You are solely responsible for lawful use of recording features and must comply with GDPR, CCPA, and applicable privacy regulations.

8.5 Supervision Requirements

Primary operator must be 18+ years old. Minors may operate robots only under direct adult supervision. Primary renter remains liable for all usage regardless of actual operator.

9. Prohibited Activities and Restrictions

9.1 Hardware Restrictions

STRICTLY PROHIBITED:

  • Disassembling, opening, or attempting to repair robots
  • Modifying hardware components or physical structure
  • Removing or altering identification tags or serial numbers
  • Using robots beyond specified operational limits
  • Exposing robots to extreme conditions unless rated for such use

9.2 Software Restrictions

NOT PERMITTED:

  • Installing malware or malicious software
  • Accessing restricted system files or overriding safety protocols
  • Reverse engineering proprietary software
  • Sharing system access with unauthorized parties
  • Using robots for cybersecurity testing without written consent

9.3 Content and Conduct Restrictions

PROHIBITED:

  • Creating content that portrays our company or robots negatively
  • Adult content creation or sexually explicit material
  • Using robots for illegal activities or criminal purposes
  • Harassment, stalking, or invasion of privacy
  • Violent or dangerous activities

9.4 Environmental and Commercial Restrictions

  • Use limited to indoor/outdoor capabilities specified on robot pages
  • Do not transport robots in personal vehicles without approval
  • Store robots in secure, climate-controlled environments
  • Commercial use requires appropriate business insurance coverage

10. Technical Support and Incident Reporting

10.1 Support Access

Log into your Account Dashboard to access live chat, email tickets, and phone support. Standard support: Monday-Friday, 9:00 AM – 5:00 PM (CET). Emergency support: 24/7 for critical safety issues only.

10.2 Technical Assistance

Most issues are resolved remotely within hours. If needed, we’ll send a replacement robot within 10-14 business days. Robot manuals, video tutorials, and technical documentation available in your dashboard.

10.3 Incident Reporting

Report within 24 hours through Account Dashboard:

  • Any injury involving the robot
  • Property damage
  • Robot malfunction affecting safety
  • Theft, loss, or unauthorized access
  • Any police involvement

10.4 Emergency Procedures

We retain the ability to remotely shutdown robots for safety or security reasons. We will attempt to contact you before or immediately after emergency shutdown.

11. Company Rights and Remedies

11.1 Inspection and Monitoring Rights

We may remotely access robots for diagnostic, maintenance, or security purposes. We may monitor robot performance and usage patterns to ensure compliance and collect anonymized usage data for service improvement.

11.2 Termination Rights

We may immediately terminate your rental and demand robot return for:

  • Breach of Agreement terms
  • Prohibited activities
  • Non-payment after notice
  • Providing false information
  • Refusing to cooperate with investigations
  • Criminal activity involving the robot

11.3 Recovery Rights

We may use GPS tracking to locate robots, enter your premises to recover robots if legally permissible, and involve law enforcement when necessary. You are liable for all recovery and repossession costs.

11.4 Intellectual Property Protection

All robots, software, and related intellectual property remain our exclusive property. You receive only a limited, non-transferable license during rental period. You must maintain confidentiality of proprietary information and not attempt reverse engineering or trademark use without permission.

12. Termination and Cancellation

12.1 Customer Cancellation

Reservations are final once confirmed and cannot be cancelled or refunded. No refunds for early returns, but rental may be terminated early without penalty.

12.2 Extensions

You must contact us at least 2 weeks before rental ends. Extensions subject to availability and may have different pricing. If extension denied, robot must be returned on original end date.

12.3 Company Termination

We may terminate for material breach, non-payment, misuse, false information, or safety violations. Written notice via email with 5 business days to cure minor breaches. No cure period for safety violations or criminal activity.

12.4 Termination Effects

Upon termination, all outstanding fees become immediately due, robot must be returned immediately, and payment obligations, liability, indemnification, and dispute resolution survive termination.

13. Force Majeure and Emergencies

13.1 Force Majeure Events

Events beyond our control include natural disasters, pandemics, government actions, wars, terrorism, supply chain disruptions, and cyberattacks. During such events, our obligations may be suspended without penalty.

13.2 Health Emergencies

We may implement additional safety measures, contactless delivery, quarantine periods for robots, and service modifications in affected areas. All parties must comply with health regulations.

13.3 Communication

We will provide prompt notice of Force Majeure events and regular updates when possible. Both parties must make reasonable efforts to mitigate impacts.

14. Warranties and Disclaimers

14.1 Limited Warranty

We warrant robots will function substantially according to specifications, be free from material defects, and be delivered in good working condition for the rental period.

14.2 Technology Limitations

Some robots use experimental technology. Performance may vary based on environment. Battery life typically 2-8 hours, charging 1-4 hours, noise levels 50-60 dB during normal use.

14.3 Disclaimer

EXCEPT AS EXPRESSLY STATED, ROBOTS PROVIDED “AS IS” AND WE DISCLAIM ALL OTHER WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

15.1 Liability Limits

OUR TOTAL LIABILITY FOR ANY CLAIMS IS LIMITED TO THE TOTAL RENTAL FEES PAID BY YOU FOR THE SPECIFIC ROBOT RENTAL PERIOD.

15.2 Excluded Damages

WE ARE NOT LIABLE FOR:

  • Personal injury or death
  • Property damage to your or third-party property
  • Lost profits, business interruption, or data loss
  • Punitive, consequential, or indirect damages
  • Third-party claims

15.3 Time Limitation

All claims must be brought within one year of the cause of action or are forever barred.

16. Indemnification

16.1 Customer Indemnification

YOU AGREE TO INDEMNIFY AND HOLD HARMLESS FUTUROBOTS B.V. FROM:

  • Third-party claims from your robot use
  • Personal injury or property damage during your operation
  • Your law violations or Agreement breaches
  • Content you create that violates third-party rights

16.2 Process

We will provide prompt notice of claims. You may assume defense with competent counsel. No settlement without our consent. Your indemnification obligations survive termination.

17. Dispute Resolution

17.1 Mandatory Arbitration

ALL DISPUTES SHALL BE RESOLVED THROUGH BINDING ARBITRATION administered by Netherlands Arbitration Institute (NAI) in Amsterdam, Netherlands, conducted in English under NAI rules.

17.2 Exceptions

Courts may handle injunctive relief for IP protection or robot recovery, small claims under €5,000, and emergency relief pending arbitration.

17.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION. ALL DISPUTES MUST BE RESOLVED INDIVIDUALLY.

17.4 Costs

Arbitration costs split equally. Prevailing party recovers reasonable attorney fees.

18. Governing Law and Jurisdiction

18.1 Netherlands Law

This Agreement governed by Netherlands law without regard to conflict of law principles.

18.2 Compliance

Customer must comply with export controls, local laws, and robotics regulations. For non-arbitrable matters, Amsterdam courts have exclusive jurisdiction.

19. General Provisions

19.1 Entire Agreement

This Agreement constitutes the entire agreement and supersedes all prior agreements. May only be modified in writing or through updated website terms with notice.

19.2 Severability

If any provision is invalid, remainder remains in effect. Invalid provisions reformed to minimum extent necessary.

19.3 Assignment

You may not assign this Agreement. We may assign to any successor or affiliate with notice.

19.4 Waiver

Our failure to enforce any provision does not constitute waiver. Waivers must be in writing.

19.5 Notices

All notices via email to registered account addresses. Company notices to [email protected]. Effective upon delivery confirmation.

19.6 Survival

Payment obligations, liability limitations, indemnification, dispute resolution, governing law, and general provisions survive termination.

19.7 Effectiveness

This Agreement effective immediately upon acceptance and remains in effect until terminated.
